Terms and Conditions of Business
1. Introduction
These Terms and Conditions (“Terms”) govern all contracts, services, and engagements provided by Howes Precision Welding Ltd (“we”, “our”, “us”) to clients (“you”, “the Client”). By instructing our services or accepting a quotation, the Client agrees to be bound by these Terms in full.
2. Scope of Services
2.1 Welding and Fabrication Services
We provide MIG, TIG, and arc welding, structural and alloy fabrication, on-site repairs, batch production, and prototype assembly. All services are delivered in accordance with agreed specifications and industry standards.
2.2 Limitations
We do not operate vehicles or cranes for lifting unless specifically agreed. We are not responsible for misuse, third-party damage, or incorrect specifications supplied by the Client.
3. Quotations, Acceptance, and Orders
All quotations are indicative and subject to change upon technical review. Orders are accepted once confirmed in writing. We reserve the right to refuse work for reasons including safety, specification concerns, or resource availability.
4. Pricing and Payment
Prices are quoted in GBP and exclude VAT unless stated. Payment terms are 30 days from invoice, unless otherwise agreed. Late payments may incur interest at 4% above the Bank of England base rate plus collection costs.
5. Client Responsibilities
Clients must provide accurate specifications, site access, and any necessary permits. For on-site work, Clients must ensure a safe working environment compliant with health and safety regulations.
6. Delivery, Risk, and Title
Where materials or assemblies are supplied, risk passes to the Client upon handover or delivery. Title remains with Howes Precision Welding Ltd until payment is received in full.
7. Warranties and Liability
We warrant that services will be performed with reasonable skill and care. Liability for indirect, consequential, or incidental losses is excluded. Any manufacturer warranties on supplied materials remain the responsibility of the supplier.
8. Health, Safety, and Compliance
All work complies with UK Health & Safety and Construction (Design and Management) regulations. Clients must notify us of any additional site-specific requirements.
9. Confidentiality
All information shared by either party remains confidential. Intellectual property, designs, and technical specifications provided by the Client or created by us remain the property of the respective owner unless agreed in writing.
10. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
